The Power of Attorney is a legal document voluntarily entered into by two parties and duly certified by a notary public, usually a lawyer.  The first and second party in the Power of Attorney are: the Principal and the Agent,respectively.  In the power of attorney, the principal appoints the agent to perform a task in a legal capacity in his lieu. </p>
<p>The power of attorney empowers the agent to act upon any legal circumstance necessary of the principal, mostly if the latter cannot conduct with others, his legal affairs in person. This scenario happens in most cases, when the principal is gone from his domicile or away on a business trip for a lengthy period; or worse, if the principal is ill.  </p>
<p>The power of attorney likens the agent as that of an employee as well as representative of the principal. Another popular term for the authorized agent in a power of attorney is Attorney-in-Fact.  </p>
<p>The principal and agent who execute an agreement such as the power of attorney could either be an individual, partnership, or corporation.  Both parties who execute the power of attorney should of course, possess legal capacity which means that parties must be 18 years of age or older and of normal mental capability.  </p>
<p>When the principal authorize the agent in the power of attorney, the agent does act within the scope of the legal agreement.  Therefore, the principal is also responsible for the acts that the agent entered into, in his behalf.  In the exercise of the power of attorney, the agent is entitled to payment for services rendered and reimbursement for some of his expenses.</p>
<p>A most common use for the power of attorney is when the principal enters into a transaction such as the purchase of a real estate property.  The agent, by virtue of the power of attorney, deals with the company, or owner of the property until the sale is consummated. Thus, the agent pays for and signs all the legal documents necessary (such as purchase application form, contract to sell, deed of restriction, etc.) for the business venture between the principal who is the buyer, and the property owner who is the seller. </p>
<p>Normally, the power of attorney is revocable or can be cancelled at any time. As such, the principal has only to accomplish the revocation of the power of attorney and again, have the cancellation duly certified by a notary public. The power of attorney also becomes null and void upon the death of the principal.  </p>
<p>The role of the notary public in the power of attorney is vital and akin to a third force. The power of attorney becomes a legal instrument only if the notary public or solicitor, has certified the power of attorney to be so.  The notary public then has to furnish copies of the notarized power of attorney to the concerned government agency that requires it.  Thereafter, the power of attorney becomes a legal public document.</p>

<p>Sound like something out of Ripley&#8217;s &#8220;Believe it or Not!&#8221;? Yet in today&#8217;s topsy-turvy world, that is exactly what some people are proposing. If you have any land with horses, cattle, chickens or other livestock on it, you have reason to be concerned.</p>
<p>The proposal-being pushed by some of the nation&#8217;s biggest environmental organizations-would bring all such farm and country property under the so-called Superfund law for cleaning up industrial waste sites. </p>
<p>How come? They argue that animal waste-manure-is a &#8220;hazardous substance&#8221; and therefore every property with animals on it should be labeled and treated just like industrial waste sites. The costs imposed on our farmers could be enormous. Thousands could be driven off their land. They are rightfully worried.</p>
<p>The ridiculous thing is that Congress never intended the 1980 Superfund law to apply to farmers-or to animal waste. It was meant to clean up industrial sites like Love Canal. But because farms were not specifically excluded, environmental groups are claiming the law applies to them, too. And farmers are already being sued. </p>
<p>As a result, the nation&#8217;s major farming organizations have asked Congress to clarify-as a matter of urgency-that it never intended farms to be branded as Superfund toxic waste sites. All it would take is a simple amendment.</p>
<p>But again-believe it or not-environmental groups, trial lawyers and some state attorneys general have now mounted a campaign urging Congress NOT to clarify the law! They actually want it to remain confusing, so they can sue farmers and force them to settle. &#8220;If the activists succeed, farmers could face penalties of many millions of dollars and thousands of small farmers could be forced off their land,&#8221; wrote columnist Steve Milloy, publisher of JunkScience.com.</p>
<p>&#8220;The domestic livestock industry would be driven from this country, the grain industry would be crippled, and farm families and communities would be devastated,&#8221; warns Oklahoma Farm Bureau chief Steve Kouplen. Adds Missouri cattleman Mike John, president of the National Cattlemen&#8217;s Beef Association, &#8220;If animal manure is legally declared a hazardous substance, virtually every farm or ranch in the United States could be written off as a Toxic Superfund site.&#8221;</p>
<p>This is clearly not what Congress intended. The question now is whether members of Congress will be willing to stand up to the activists and lawyers who are urging them to do nothing to fix the problem.</p>

<p>As drab as it may seem, legal planning can help you avoid disasters in your life. With the turn of the calendar, now is the time to give your life and business some thought. </p>
<p>On the family front, you should be thinking about changes you experienced in 2005 and if any of them require you to take some steps. If you got married, you need to jump through a few loopholes related to changing names, addresses with relevant companies and so on. If you had a new family addition, have you give consideration to updating your will or family trust? On a less enjoyable subject, are there any steps you need to make with parents who are growing older. Elder abuse, particularly financially, can be a problem and you may want to provide assistance to elder parents so they aren&#8217;t taken advantage of. </p>
<p>On the business front, now is the time to take a step back and reflect upon how things are going. Did you meet your goals in 2005? If you didn&#8217;t, how do you plan to make 2006 a better year? In making this determination, you need to be honest with yourself and make sure you evaluate your week points. From a legal perspective, are all of your relevant business documents up to date? Have annual minutes been filed for your corporation or LLC? </p>
<p>A particular area where businesses fail to follow up are changes in contracts. When entering a contract, both parties tend to see great success in the future. Inevitably, they discover the agreement needs to be tweaked to allow for circumstances and so on. When this occurs, the parties will often reach an oral agreement or just shake hands on it. Such agreements are not binding on the parties. If a dispute occurs, the business relationship will be evaluated using the original agreement. That can lead to a nightmare of circumstances. If you&#8217;ve tweaked an agreement with another party, now is the time to get such an amendment in writing! </p>
<p>April 15th sounds a long way off, but it will come faster than you can imagine. Yep, I&#8217;m talking about taxes. Do you feel you pay too much in taxes? Of course you do. This is a god given right of every American. Well, now is the time to do something about it. You should contact your CPA and do some tax planning for 2006. Saving taxes often comes down to how you collect revenues and distribute them. Slight changes can save you tens of thousands of dollars, but you must implement them early in the calendar year. </p>
<p>As the calendar flipped to 2006, you undoubtedly made a resolution to do something. Getting your legal house in order probably wasn&#8217;t what you had in mind, but it is something you should do!</p>
